Please read these terms carefully before using SaralDesk. By accessing or using our platform, you agree to be bound by the following terms and conditions.

Section 01
Definitions & Scope

These Terms and Conditions ("Terms") constitute a legally binding agreement between Exergy Infotech (operating as SaralDesk, "we", "us", or "our"), a company incorporated under the laws of India, and you ("User", "Subscriber", or "Customer"), the individual or entity accessing or using our platform and services.

By clicking "I Agree", registering an account, or otherwise using any part of the SaralDesk platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Key Definitions

"Platform" refers to the SaralDesk web application, mobile application, APIs, and all related software services. "Services" means all features, modules, and products offered through the Platform, including Hotel Management, Restaurant POS, and Mini Restaurant POS. "Subscription" means a paid or trial-period licence to use the Services.

These Terms apply to all visitors, registered users, and subscribers of SaralDesk, regardless of whether you are accessing the Platform on behalf of an individual or a business entity.

Section 02
Eligibility & Registration

To register and use SaralDesk, you must meet the following eligibility requirements:

  • You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater.
  • If registering on behalf of a business entity, you must have the authority to legally bind that entity to these Terms.
  • You must provide accurate, complete, and current registration information including your legal name, business name, email address, and phone number.
  • You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.
  • You must promptly notify SaralDesk of any unauthorised use of your account by contacting support@saraldesk.com.

SaralDesk reserves the right to refuse registration or terminate accounts at its sole discretion, including cases where we believe the information provided is inaccurate or misleading.

Section 03
Subscription & Plans

SaralDesk offers various subscription plans for its Hotel Management, Restaurant POS, and Mini Restaurant POS modules. Each plan is subject to the features and limitations described on our Pricing Page.

Free Trial

SaralDesk offers a 7-day free trial for new subscribers. No credit card is required to begin a trial. At the end of the trial period, your access will be downgraded unless you activate a paid subscription. Trial accounts may have access to a limited set of features as determined by SaralDesk.

Plan Changes

You may upgrade, downgrade, or switch plans at any time from your account dashboard. Upgrades take effect immediately, with any price difference prorated for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.

No Lock-In

SaralDesk has no minimum contract duration. You may cancel your subscription at any time, with no cancellation fees or penalties. Access continues until the end of the current paid billing period.

Multi-Property Accounts

If you manage multiple properties (hotels or restaurant outlets), each property requires its own subscription. Consolidated billing may be available for accounts with 3 or more active subscriptions — please contact our sales team for details.

Payments & Billing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. By activating a paid subscription, you authorise SaralDesk to charge your chosen payment method on a recurring basis as per the billing cycle you selected.

Refund Policy

Monthly subscriptions are non-refundable once the billing cycle begins. For annual subscriptions, a pro-rated refund may be requested within 7 days of purchase if the Services have not been substantially used. All refund requests must be submitted via email to billing@saraldesk.com. SaralDesk reserves the right to decline refund requests that do not meet the eligibility criteria.

SaralDesk reserves the right to revise pricing with 30 days' prior notice sent to your registered email address. Continued use of the Services after the effective date of a price change constitutes acceptance of the revised pricing.

Section 05
Acceptable Use Policy

You agree to use SaralDesk only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

  • Attempting to gain unauthorised access to SaralDesk's systems, servers, databases, or other users' accounts.
  • Uploading, transmitting, or distributing any malware, viruses, or malicious code through the Platform.
  • Using the Platform to store or process unlawful content, including fraudulent guest records or falsified tax information.
  • Reverse engineering, decompiling, or attempting to extract the source code of the Platform or any underlying software.
  • Reselling, sublicensing, or commercially exploiting the Platform without prior written authorisation from SaralDesk.
  • Violating any applicable laws, regulations, or third-party rights, including those related to data privacy, intellectual property, or consumer protection.
  • Using automated bots, scrapers, or scripts to extract data from the Platform without written permission.

SaralDesk reserves the right to suspend or terminate access immediately and without prior notice if it determines, in its sole discretion, that you have violated this Acceptable Use Policy.

Section 06
Data & Privacy

SaralDesk takes data security and privacy extremely seriously. Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. The following key commitments apply:

  • All guest data, including identity documents uploaded for Police Form C compliance, is encrypted using AES-256 encryption at rest and in transit.
  • Data is stored in geo-redundant cloud infrastructure within India, complying with applicable data localisation requirements.
  • We do not sell, rent, or trade your business data or your guests' personal data to third parties for marketing purposes.
  • You retain full ownership of all data you upload or create within the Platform ("Customer Data").
  • Upon account termination, you may request an export of your Customer Data within 30 days. After 30 days, data may be permanently deleted.
  • SaralDesk employees may access Customer Data only when required for support or security purposes, and only with your consent or under legal obligation.
Regulatory Compliance

SaralDesk assists with compliance for Police Form C requirements under the Foreigners Act, 1946, and related notifications. However, the ultimate responsibility for ensuring compliance with all applicable hospitality regulations rests with the Subscriber.

Section 07
Intellectual Property

The SaralDesk Platform, including its software, design, branding, trademarks, logos, text, graphics, and all other content (collectively, "SaralDesk IP"), is the exclusive property of Exergy Infotech and is protected by applicable Indian and international intellectual property laws.

Subject to your compliance with these Terms, SaralDesk grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations during your active subscription period.

You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any SaralDesk IP without prior written consent. Any feedback, suggestions, or ideas you provide to SaralDesk regarding the Platform may be used by us freely, without any obligation to compensate you.

You retain all rights to your Customer Data. By uploading Customer Data to the Platform, you grant SaralDesk a limited licence to process, store, and display that data solely for the purpose of providing the Services to you.

Section 08
Uptime & Support SLA

SaralDesk is committed to providing a reliable and high-performance platform for your business operations. Our Service Level Agreement (SLA) commitments are as follows:

SLA credits are the sole and exclusive remedy for any failure to meet uptime commitments. Credits are not issued for downtime caused by third-party services, network failures outside SaralDesk's control, or your own misconfigurations.

Section 09
Limitation of Liability

To the fullest extent permitted by applicable law, SaralDesk, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Platform or Services.

Important Limitation

In no event shall SaralDesk's total aggregate liability to you for any claims arising from these Terms or your use of the Services exceed the greater of: (a) the amount you paid to SaralDesk in the 3 months immediately preceding the event giving rise to the claim, or (b) INR 5,000.

SaralDesk makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Platform is provided on an "as is" and "as available" basis.

You acknowledge that SaralDesk does not guarantee the accuracy or completeness of any reports, data exports, or analytics generated by the Platform. You are solely responsible for independently verifying critical business decisions made using data from SaralDesk.

Section 10
Termination
Termination by You

You may cancel your SaralDesk subscription at any time through your account settings or by contacting support@saraldesk.com. Upon cancellation, your access will continue until the end of the current paid billing period. No further charges will be made after cancellation.

SaralDesk reserves the right to suspend or terminate your account and access to the Services, with or without notice, in the event of:

  • Violation of any provision of these Terms or the Acceptable Use Policy.
  • Non-payment of subscription fees for more than 14 days past the due date.
  • Fraudulent activity, misrepresentation, or use of the Platform for illegal purposes.
  • Court order, regulatory requirement, or legal obligation requiring us to do so.
Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. You will have 30 days to request an export of your Customer Data. After this period, SaralDesk may permanently delete your data from its systems. Provisions relating to intellectual property, limitation of liability, and governing law shall survive termination.

Section 11
Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of Indore, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or your use of SaralDesk.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days from the date notice of the dispute is provided in writing.

If a dispute is not resolved through negotiation, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties, and shall be conducted in English in Indore, Madhya Pradesh.

Section 12
Changes to These Terms

SaralDesk reserves the right to modify these Terms at any time. When material changes are made, we will:

  • Post the updated Terms on this page with a revised "Last Updated" date.
  • Send a notification to your registered email address at least 14 days before the changes take effect, for material changes.
  • Display a prominent banner on the Platform notifying you of the update.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date of the changes.

We encourage you to review these Terms periodically. Minor updates such as typographical corrections or clarifications that do not materially affect your rights may be made without prior notice.
